A role on the Corporate Law team within the Law Department means providing value-added legal support on all aspects of Target’s status as a publicly traded company. As Director Counsel, Securities Law, you will work with a large, cross-functional team of internal experts and trusted advisors to focus on securities law and other public company matters by:

  • Providing practical, informed advice on ’34 Act and NYSE compliance matters
  • Leading insider trading and Section 16 compliance programs
  • Assisting with managing the relationship with Target’s external auditor
  • Counseling on general disclosure obligations and providing securities law support for other legal professionals handling Corporate Governance, Corporate Finance, and Executive Compensation matters
  • Serving as a key partner and trusted legal advisor to Target’s Accounting, Investor Relations, and Corporate Affairs functions
  • Together with other members of the Corporate Law team, providing legal services to Target’s Corporate Development function, coordinating internal and external advisors to support the negotiation and execution of mergers & acquisitions, divestitures, investments, and other strategic transactions
  • Other duties as assigned

About You:

  • Juris Doctorate degree from an accredited law school
  • Admitted to practice law in at least one U.S. jurisdiction, in good standing; eligible for admission to the Minnesota bar
  • 8+ years of relevant experience working for a law firm, large public company, or government entity
  • Ability to facilitate meetings, succinctly present to large, multi-stakeholder groups, resolve conflict, build consensus, establish rapport, and collaborate effectively across all levels of an organization
  • Ability to represent the company confidently, thoughtfully, and with the highest standards of integrity; strong oral and written communicator
  • Ability to work independently to learn new skills, anticipate needs, comfortably navigate ambiguous, unfamiliar, and dynamic environments, and quickly adapt to achieve enterprise-wide results
  • Excellent business judgment and ability to assess legal risk while also thinking strategically, providing practical advice, working efficiently, and influencing outcomes across business functions
  • Strong project management skills and ability to balance competing priorities and expectations; highly organized

This position will operate as a Hybrid/Flex for Your Day work arrangement based on Target’s needs. A Hybrid/Flex for Your Day work arrangement means the team member’s core role will need to be performed both onsite at the Target HQ MN location the role is assigned to and virtually, depending upon what your role, team and tasks require for that day.
